Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Mapbase website, APIs, dashboard, SDKs, components and related services (together, the “Service”) provided by Mapbase, Lda. (“Mapbase”, “we”, “our” or “us”). By creating an account, generating an API key, or otherwise accessing the Service, you agree to be bound by these Terms.
01Eligibility and account
You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.
You are responsible for maintaining the confidentiality of your credentials and API keys and for all activity that occurs under your account. Notify us without undue delay at [email protected] if you suspect unauthorized use.
02The Service
Mapbase provides geographic data primitives, components and blocks — including locations, boundaries, addresses, postcodes and canonical identifiers — delivered over an HTTP API and supporting developer tooling.
We may modify, suspend or discontinue any part of the Service at any time. We will use commercially reasonable efforts to notify paying customers of material, adverse changes.
03Plans, fees and Stripe billing
Paid plans are billed in advance on a recurring basis (monthly or annually, as selected). All payments are processed by our third-party payment processor, Stripe, Inc., under Stripe’s terms. Mapbase does not store full payment card numbers on its servers.
- Auto-renewal. Subscriptions renew automatically at the end of each billing cycle at the then-current rate, unless cancelled before the renewal date.
- Taxes. Fees are exclusive of applicable taxes, duties and withholdings, which are your responsibility.
- Failed payments. If a payment fails, we may suspend or downgrade access until the outstanding balance is resolved.
- Price changes. We may change pricing with at least 30 days’ prior notice to your account email; changes take effect at your next renewal.
04Trials, cancellation and refunds
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you retain access until that date.
Except where required by applicable law (including EU consumer withdrawal rights for qualifying customers), fees already paid are non-refundable. If you are an EU consumer and exercise your statutory right of withdrawal within 14 days of purchase, you acknowledge that by starting to use the Service within that period you may lose that right for usage already consumed.
05Acceptable use
You agree not to, and not to permit any third party to:
- Use the Service to violate any law, regulation or third-party right;
- Resell or sublicense the Service except as expressly permitted;
- Reverse engineer, decompile or attempt to extract source code, except where permitted by law;
- Circumvent rate limits, authentication, quotas or any other technical measures;
- Use the Service to build or train a competing geographic data product;
- Upload or transmit malicious code, or probe, scan or test the Service for vulnerabilities without prior written consent;
- Use the Service in a manner that could damage, disable, overburden or impair it.
We may throttle, suspend or terminate access that, in our reasonable judgment, violates these restrictions.
06Customer content and data
Customer Content means any data, queries or inputs you submit to the Service. You retain all rights in your Customer Content. You grant us a limited, worldwide, non-exclusive license to host, process and transmit Customer Content solely to operate, maintain and improve the Service for you.
We may generate aggregated, de-identified metrics from usage of the Service for capacity planning, billing and product improvement. Aggregated data does not identify you or your end users.
07Intellectual property
The Service, including all software, APIs, documentation, data compilations, trademarks and logos, is owned by Mapbase or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted herein, no rights are granted to you.
Subject to these Terms and timely payment of fees, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription.
08Feedback
If you submit feedback, suggestions or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose, without obligation to you.
09Third-party services
The Service may integrate with or depend on third-party services (including Stripe for payments, analytics providers, infrastructure providers and map renderers). We are not responsible for the availability, content or practices of third-party services, and your use of them is subject to their own terms.
10Warranties and disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted operation. Geographic data may be incomplete, inaccurate or out of date; you are responsible for validating results before relying on them for material decisions.
11Limitation of liability
To the maximum extent permitted by law, in no event will Mapbase be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to the Service.
Our aggregate liability arising out of or related to these Terms or the Service will not exceed the amounts paid by you to Mapbase in the twelve (12) months preceding the event giving rise to the claim, or EUR 100, whichever is greater. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12Indemnification
You agree to defend, indemnify and hold harmless Mapbase and its officers, directors, employees and agents from any claim, loss, liability or expense (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.
13Suspension and termination
We may suspend or terminate your access immediately if you breach these Terms, create risk or possible legal exposure for us, or if required by law. Upon termination, your right to use the Service ceases. Sections intended to survive termination (including IP, disclaimers, liability limits and governing law) will survive.
14Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15Governing law and disputes
These Terms are governed by the laws of Portugal, without regard to its conflict-of-laws rules. The courts of Portugal will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where mandatory consumer protection law provides otherwise.
16General
These Terms are the entire agreement between you and Mapbase regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets.
